Welcome to Clozr, operated by Clozr Technologies Private Limited. These Terms and Conditions ("Terms") govern your access to and use of our website www.clozr.com services, and products. By using our platform, you agree to comply with and be legally bound by these Terms.
1. About Clozr
Clozr is a CRM platform that:
- Designs and provides customer relationship management solutions to businesses and professionals.
- Procures and delivers software access, onboarding, and related services directly to customers.
- Coordinates implementation using Clozr-certified, trained, and onboarded partners, ensuring consistent service quality.
- Facilitates integrations and third-party service enablement where applicable.
- Provides after-sales service coordination and customer support.
- Clozr acts as the principal service provider and coordinator. It is not a marketplace or third-party listing platform.
2. Certified Partner Implementation
Clozr ensures that your system is implemented by a certified partner, who is:
- Technically qualified and trained by Clozr.
- Onboarded through a structured evaluation and documentation process.
- Third-party service providers (e.g., payment gateways, SMS/email services) under NDA and data protection agreements.
- Bound to follow Clozr's implementation SOPs, security protocols, and quality standards.
- Implementation performance is continuously monitored, and complaints can be raised directly with Clozr.
3. Product Ownership and Warranty
Clozr is the official provider and access coordinator for the entire CRM software package.
All software components and integrations are sourced from reputed providers where applicable.
Clozr does not manufacture third-party integrations and is not liable for inherent third-party defects but will coordinate support where possible.
Clozr provides a limited service warranty covering:
- Implementation issues
- Operational support during the first year
- Optional AMC packages (Annual Maintenance Contracts)
Service & Activation Terms:
- Upon activation, the customer must verify and acknowledge access credentials and configuration.
- After activation acknowledgment, the customer is responsible for secure use of login credentials.
- Certified partners will re-verify configurations during onboarding. Any misuse after activation will be addressed per Clozr's service policy.
- The service period for all subscriptions begins on the date of activation.
- Customers must retain the activation confirmation or service completion certificate for future support requests.
4. Referral & Affiliate Program
Clozr offers referral/affiliate programs for:
- Offline partners: consultants, agencies, business advisors.
- Online partners: influencers, students, content creators.
Terms:
- Partners must be registered and approved.
- Commissions are paid only on confirmed subscriptions with completed payments.
- Referrals found to be fraudulent, duplicate, or ineligible may be disqualified.
- Commissions are subject to applicable taxes (TDS/GST) and may be withheld if compliance is unmet.
5. Cancellation and Refund Policy
Demo / Booking Fees:
- A non-refundable fee of ₹500 may be charged for certain premium demos or consultations.
- If the customer proceeds with the subscription, this amount is adjusted in the final invoice.
Cancellation Before Account Activation:
- Full refunds (minus payment gateway charges) are allowed if cancelled within 48 hours of payment.
Cancellation After Activation:
- No refund will be issued once the account has been activated and onboarding has commenced.
- If financing or installment plans are involved, cancellation must follow the lender's terms.
Subscription Cancellation:
- If the customer cancels after subscription activation, applicable cancellation charges may apply as per the selected plan.
6. Your Rights
- Clozr will provide software access and related services as per the selected subscription plan.
- Accounts are typically activated within 1 to 5 working days after full payment confirmation.
- Customers must ensure that accurate details are provided for onboarding and configuration.
- Upon activation, the customer must inspect and confirm access. Once acknowledged, Clozr is not liable for misuse of credentials.
- In case of incorrect details or access issues caused by the customer, rescheduling or reconfiguration may involve additional charges.
- Service timelines may vary due to technical issues, maintenance, public holidays, or force majeure events. We will notify customers of any delays as early as possible.
- Clozr reserves the right to decline or delay service activation in high-risk or non-compliant cases, with prior notice.
7. Financing Facilitation
Clozr may offer financing via partnered banks and NBFCs.
- All approvals, EMI terms, and rejections are handled solely by the lender.
- Clozr is not liable for delays, rejections, or changes in lending terms.
- Customers must read and accept the lender's terms and conditions before proceeding.
8. User Responsibilities
By using Clozr, users agree to:
- Provide accurate and complete information for onboarding, verification, and financing.
- Maintain confidentiality of login credentials.
- Not misuse the affiliate system or platform.
- Raise service issues via the proper grievance channel.
9. Limitation of Liability
- Clozr is not liable for third-party software defects or financing decisions.
- Our maximum liability is limited to the value of the service component paid by the customer.
- Clozr is not liable for indirect, incidental, or consequential damages, including delays due to force majeure events.
10. Intellectual Property
All content, branding, design elements, software, and trademarks on www.clozr.com are the exclusive property of Clozr Technologies Private Limited.
Unauthorized copying, distribution, or reuse is strictly prohibited.
Violations may result in legal action under applicable laws.
11. Payments & Pricing
- Prices displayed include/exclude taxes as mentioned per product or service.
- Payments are accepted through secure, third-party payment gateways.
- Clozr is not liable for payment processing delays or bank issues.
- In case of technical pricing errors, Clozr reserves the right to cancel or modify the order and issue a refund.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes shall fall under the exclusive jurisdiction of courts in Alappuzha, Kerala.
